These Terms and Conditions (“Agreement” or “Terms”) govern access to and participation in the Pause, Rest, Lead® School {of Sacred Studies} (the “School”), owned and operated by Red Clay Wellness, a Georgia limited liability company (“RCW,” “we,” “us,” or “our”). 

By purchasing or accessing any courses, workshops, programs, events, materials, or other live, recorded, or on-demand offerings through the School (collectively, the “Offerings”), you (“Student,” “you,” or “your”) agree to abide by these Terms in full. If you do not agree, please do not access or purchase any Offerings.

01. PRIVACY POLICY AND PLATFORM TERMS

These Terms are subject to the RCW Privacy Policy  other applicable RCW terms, and the terms and conditions of the School’s hosting Platform (“Platform”). By using the School, Students acknowledge and accept the terms set by any third-party platforms through which access is granted. 

02. ACCESS, USE, & SECURITY

Access to the School is strictly for Students who have completed payment for or have been permitted access to an Offering. Access is granted for the duration of time the course or materials are available and RCW reserves the right to remove, update, or retire any Offerings, in part or in full, at any time, for any reason, without notice.

Students will be issued login credentials for personal, individual use. These credentials are confidential, and non-transferable. You agree not to share, distribute, or otherwise compromise the security of these credentials. Any suspected misuse, including unauthorized sharing of login information or School materials with others, may result in your immediate suspension or termination from the School.

03. DISCLAIMERS

The School and its Offerings are intended for educational and informational purposes only. They do not constitute medical, legal, therapeutic, or financial advice. Students are encouraged to seek licensed or certified professionals as needed.

Enrollment in the School does not create a professional relationship with RCW or its instructors. RCW makes no guarantees or warranties regarding results, outcomes, improvements, or success for your personal, professional, or business endeavors. Every individual and business is different, and any outcomes depend on a variety of factors outside of RCW’s control.

Completion of one or more Offerings does not equate to you being certified by RCW or receiving a Pause, Rest, Lead® Facilitator Certification for which an entirely separate process is required.

04. PAYMENTS AND REFUND POLICY

Unless otherwise stated, purchase of any Offering is required for enrollment.

4.1 Installment Payments. By selecting an installment payment option, you acknowledge and agree that full access to the purchased Offering may be limited or restricted until all scheduled payments have been received or payment has been made in full. You authorize RCW to automatically charge the payment method provided at the time of purchase in accordance with the installment schedule presented at checkout. If an installment payment fails, your payment method will be retried once per day for a period of seventy-two hours. If payment remains unsuccessful after this period, you will be notified and granted a grace period of three calendar days to update your payment method. One final payment attempt will be made after the grace period. If payment is still unsuccessful after the final attempt, RCW reserves the right to immediately suspend your enrollment in the School, including revoking access to any purchased Offerings or resources, materials, platforms, and community spaces associated with those Offerings. RCW is under no obligation to reinstate access or participation unless and until all payments due have been received.

4.2 Third Party Financing. RCW may offer more payment flexibility via third-party financing. If you decide to use our third-party financing option to cover your investment, you understand that any financing arrangement is strictly between you and the third-party financing provider. RCW is not a party to those terms. We shall have no responsibility or liability for the terms, performance, or enforcement of any third-party financing agreement. All payment obligations for the School will remain in full effect regardless of your financing status or any dispute with the third-party financing provider.

4.3 Promotions. RCW may offer promotional pricing, discounts, or other incentives (“Promotions”) for select Offerings. All Promotions are valid only for the time period expressly stated in the promotional materials and are subject to availability. We reserve the right to modify or revoke any Promotion at any time prior to redemption and without prior notice.

Promotions are non-transferable, may not be combined with other Offerings unless explicitly stated, and are not redeemable for cash. Any terms and conditions specified in connection with a particular Promotion such as eligibility criteria, applicable offerings, redemption deadlines, and usage limitations shall apply in full and govern the Promotion.

Use of a Promotion in violation of these Terms or in a manner deemed abusive or fraudulent by RCW will result in immediate forfeiture of the Promotion and may lead to suspension or termination from the School.

4.4 Refunds. All sales are final. No refunds will be granted once a Student has been granted access to materials. Exceptions may be made if the Student did not receive access to the Offering. 

05. THIRD-PARTY INSTRUCTORS & COLLABORATORS

Guest instructors, collaborators, or contributors (“Guest Leaders”) to the School are independent parties and are not agents, employees, or representatives of RCW. Enrollment in the School or purchase of an Offering does not create a client or other relationship between you and any Guest Leader. If you pursue services or engagements with a Guest Leader, you do so independently and at your own risk. RCW and the School are not parties to those arrangements and do not endorse or accept responsibility for any services, advice, or engagements entered into between Students and Guest Leaders.

06. COMMUNITY STANDARDS & GATHERINGS

Students may be granted access to online forums, communities, or group discussions hosted by RCW. Participation is subject to the Pause, Rest, Lead® School Event Terms. We do not control or endorse unofficial gatherings of Students organized outside of the School and will not be held liable for any acts, omissions, or outcomes of such gatherings. You understand your participation in such activities are at your own risk.

RCW honors and affirms a wide range of lived experiences, including but not limited to those shaped by race, gender, sexuality, spiritual beliefs, and cultural identity. Discrimination, exclusion, or hate speech of any kind will not be tolerated and may result in immediate removal from the School.

07. INTELLECTUAL PROPERTY

7.1 RCW’s Intellectual Property. All materials provided or made available by RCW in connection with the School and its Offering including, but not limited to, worksheets, courses, presentations, images, slides, videos, recorded content, coined phrases, terminology, frameworks, templates, methodologies, exercises, and written content (collectively, the “Intellectual Property”), are and shall remain the sole and exclusive property of RCW. Intellectual Property also includes any materials for which RCW holds a license from a third party. All Intellectual Property is protected by applicable United States and international copyright, trademark, and/or patent laws. Nothing in this Agreement shall be construed as granting you ownership or proprietary rights in the Intellectual Property.

7.2 Limited License. RCW grants you a limited, non-exclusive, non-transferable, revocable, royalty-free license to access and use the Intellectual Property solely for your personal and individual participation in the School. We do not confer any rights of ownership or authorization to use the content beyond the scope of the School. Unless otherwise specified, all video content, recordings, and other course materials are provided in a view-only format and must be accessed through the Platform. Any materials that are intended for download such as worksheets, templates, or designated resources will be marked as such. These may be saved for personal reference and permitted use.

7.3 Restrictions & Prohibited Use. You are expressly prohibited from copying, sharing, reproducing, teaching, recording, modifying, white-labling, publishing, selling, sublicensing, distributing, creating derivative works from, reverse-engineering, holding out as your own, otherwise exploiting the Intellectual Property or using it in any non-permitted manner without RCW’s prior written permission. Violation of this provision will result in your immediate expulsion from the School without refund and may subject you to legal action including, but not limited to, injunctive relief and damages.

7.4 User-Generated Content. Any user-generated content you share within the School or on School-owned or School-hosted forums, such as comments or uploads, grants us a limited license to use that content for business or marketing purposes. We reserve the right to remove any content that is harmful to others or misrepresents the School or its Offerings.

08. TECHNOLOGY & AI

By enrolling in the School, you acknowledge and consent to RCW’s use of third-party platforms, tools, and technologies including those powered by artificial intelligence (AI) to deliver, manage, or enhance the learning experience, facilitation of events, delivering of content, operational efficiency, communication, user experience, analytics, or other administrative functions. Any AI-generated content is reviewed for quality and accuracy. Your data is not used to train AI models unless explicitly stated.

We do not control the internal workings of third-party tools and are not liable for how those platforms use or process data. Use of the School constitutes your consent to any data processing necessary for your participation, in accordance with RCW’s Privacy Policy and the privacy policies of those platforms. You release RCW from any claims arising from your use of or access to these platforms. If you do not wish to engage with platforms or tools that may use these technologies, do not enroll or continue participation in the School.

09. CONFIDENTIALITY

You agree not to disclose, share, or distribute any non-public information obtained through your participation in the School, including but not limited to Intellectual Property, content of any Offerings, discussions, peer contributions, or other materials designated as confidential or not made available to the public. This obligation applies during and after your enrollment in the School. Breach of this provision may result in immediate termination from the School and other remedies as allowed by law.

10. SCHOOL VIOLATIONS

Any violation of these Terms, including but not limited to unauthorized use of materials, sharing login credentials, inappropriate conduct, or misuse of RCW’s Intellectual Property, may result in immediate termination from the School without refund. RCW reserves the right to determine whether a violation has occurred and to take action accordingly including suspending you from accessing purchased Offerings and its contents.

11. FORCE MAJEURE

RCW shall not be liable or responsible for any failure or delay in performing its obligations under these terms if such failure or delay is caused by events beyond its reasonable control including, but not limited to natural disasters, pandemics, acts of God, war, terrorism, power outages, internet or third-party service failures, or actions of governmental authorities. In such events, RCW will make reasonable efforts to resume services as soon as practicable but makes no guarantees of continuity during the affected period.

12. DISPUTE RESOLUTION

In the event of a dispute, you agree to email the School at hello@octaviaraheem.com with a written explanation of the issue at hand. RCW will respond within seven business days with a decision regarding your request or an invitation for further conversation. You agree not to initiate a chargeback or other payment dispute without having first complied with and completed this process.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, RCW’s total liability to you for any claim arising out of or relating to your participation in the School, regardless of the form of action, shall be limited to the total amount you paid to RCW for the specific Offering giving rise to the claim. RCW shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, business interruption, or emotional distress even if you have been advised of the possibility of such damages.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless RCW, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your breach of these terms; (ii) your misuse of any School content or the platform; (iii) your violation of any law or third-party rights; or (iv) any content you contribute to School forums, events, or communities. RCW reserves the right to control the defense of any such matter and you agree to receive RCW’s consent before settling any matters or entering any judgments on RCW’s behalf.

15. GOVERNING LAW AND COMPLIANCE

These Terms shall be governed by the laws of the State of Georgia, without regard to conflict of law principles. Students are responsible for complying with all applicable local, state, federal, and international laws and regulations when participating in the School.

16. SEVERABILITY

If any part of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. NO WAIVER

The failure of RCW to enforce any provision of this Agreement shall not be deemed a waiver of its right to enforce that provision or any other provision in the future.

16. MODIFICATIONS

RCW reserves the right to modify or update these Terms at any time. Any changes will be posted with a new effective date at the top of the page of these Terms. Your continued use of the School constitutes acceptance of the modified Terms.

17. ENTIRE AGREEMENT

These Terms represent the entire agreement between RCW and the Student with respect to participation in the School and supersede any prior agreements, written or oral.
